In addition to the core Services, Handoff offers embedded payment processing services (the "Processing Services") that enable Merchants to accept digital payments, including credit card, debit card, ACH, and other payment types as may be offered from time to time. To use the Processing Services, you must accept (1) the Handoff Terms of Use and (2) these Payment Processing Services Supplemental Terms. Together these documents shall be referred to as the “Terms”. Any capitalized terms used herein but not defined shall have the meaning set forth in the Terms of Use.

Account Access. As part of the Services, you may be required to connect your bank account(s). You understand and agree that Handoff may monitor your account balances and transaction history, including without limitation, to see whether there have been any chargeback or insufficient funds, to track cash balances, and for other risk modeling purposes at Handoff’s sole determination. You agree and hereby provide your unconditional consent for Handoff to use any information related to your bank account(s) for its business purposes, including without limitation to determine your eligibility for business loans and other risk monitoring.

Disputes. As a Merchant, you are solely responsible for all Transactions (defined below), chargebacks, reversals, and payment disputes ("Disputes") initiated by your End Customers. Handoff is not a party to any transaction between you and your End Customers and bears no liability for the quality, delivery, or legality of goods or services you provide.

If a Dispute results in a chargeback for which Handoff incurs liability — including where your account has insufficient funds to satisfy the disputed amount — the full chargeback amount plus any associated fees, penalties, or processing costs immediately constitutes a debt owed by you to Handoff. Handoff may recover such amounts by:

offsetting against any pending or future payouts owed to you;

debiting any payment method or bank account on file; or

pursuing collection through any lawful means, including legal action.

You agree to cooperate fully with Handoff in contesting any Dispute, including providing transaction records, signed agreements, and any other documentation within the timeframe required by the applicable card network. Your cooperation or failure to cooperate does not relieve you of financial liability for the disputed amount.

Reserves. Handoff may, at its sole discretion, withhold a portion of your payouts as a reserve to cover potential Disputes. You will be notified of any reserve requirements. Reserves may be held for up to 180 days following your last transaction or account termination.

Debit Authorization. To the extent you, as the Merchant, are receiving deposits via ACH, you will establish and maintain one or more demand deposit accounts (“DDA”) to facilitate the provision of the Services. You will at all times maintain sufficient funds in the DDA to accommodate all debit, credit, electronic check and any other authorized transactions in connection with your account (“Transactions”), chargebacks, Disputes, returns, refunds, adjustments, fees, penalties, assessments, and other amounts due. In accordance with the NACHA rules, you hereby authorizes Handoff to initiate credit and debit entries to the DDA and to credit and debit the same. The foregoing authorization will remain in effect after termination of these Terms until all of your obligations to Handoff or its payment providers have been paid in full. If you change the DDA, the authorization given above will apply to the new DDA. You shall have no right to recover from Handoff or its payment providers any sums deducted or withheld from the DDA in accordance with these Terms. You will indemnify and hold harmless Handoff and its payment providers for any authorized actions they take against the DDA in accordance with these Terms.

Suspension. Handoff may suspend or terminate your access to Payment Services if your chargeback rate exceeds thresholds deemed acceptable by Handoff in its sole discretion, or if your account poses unreasonable financial risk.

Indemnification. You agree to indemnify, defend, and hold harmless Handoff, its officers, directors, employees, and agents from any claims, liabilities, losses, or expenses — including reasonable attorneys' fees — arising from Disputes related to your transactions, your failure to maintain sufficient funds to cover chargebacks, or your breach of these Payment Processing Services Supplemental Terms.

Fees. Below are our current fees for Processing Services, which may be updated by us from time to time:

By default, the base credit card processing fee is passed through to the payer, unless the Merchant specifically elects to absorb it.

American Express fees are charged to the Merchant. When a payment is made with American Express, an additional +0.50% surcharge applies. This surcharge currently cannot be assigned to the payer at the point of sale, and as a result it will be assessed to and borne by the Merchant unless and until Platform enables payer assignment. The base credit card fee continues to be passed to the payer as described above.
